These Terms of Service ("Terms") form a binding agreement between you ("you", "User") and Chasing Pelagics LLC, a California limited liability company ("Catalysst", "we", "us"). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

"Service" means the Catalysst website, mobile and web applications, APIs, data pipelines, documentation, branding, and any related products operated by Chasing Pelagics LLC, including (but not limited to) the domains catalysst.net, app.catalysst.net, socal.catalysst.net, and reports.catalysst.net.

2. Eligibility & Accounts

• You must be at least 18 years old and legally able to enter a binding contract.
• Accounts are issued to individual humans. You may not share, resell, transfer, or permit others to use your credentials.
• You are responsible for the confidentiality of your credentials and all activity under your account.
• We may suspend or terminate accounts for violation of these Terms, abusive access patterns, credential sharing, chargebacks, fraud, or any activity we reasonably deem harmful to the Service or other users.

3. Subscription, Billing & Trials

• The Service is offered on recurring monthly subscriptions ("SoCal", "US", "International", or any future tier we publish).
• A 7-day free trial may be offered on new subscriptions. A valid payment method is required at signup. At the end of the trial, your subscription will automatically renew at the published price unless you cancel before the trial ends.
• Subscriptions renew automatically each billing period until cancelled. You may cancel at any time from your account page or the Stripe Customer Portal; cancellation takes effect at the end of the current billing period.
• No refunds. Fees already paid are non-refundable except where required by law. We do not pro-rate partial months.
• Prices are quoted in U.S. dollars and are exclusive of any applicable taxes or fees, which will be added at checkout or collected by our payment processor.
• We may change prices with at least 30 days' notice by email. Continued use after a price change constitutes acceptance.

4. Acceptable Use

You agree not to, and not to permit any third party to:

• copy, decompile, reverse-engineer, disassemble, or attempt to derive the source code of the Service or any client-side component beyond what is expressly permitted by applicable law;
• scrape, crawl, harvest, mirror, or otherwise extract data from the Service by automated means (bots, crawlers, spiders, headless browsers, scripts, or scraping services) except via an officially documented API within the rate limits of your subscription;
• resell, sublicense, republish, broadcast, or commercially redistribute any data, imagery, vessel positions, map tiles, oceanographic layers, Areas of Interest, reports, analytics, or other content retrieved from the Service;
• use the Service to train machine-learning models or to build a competing product;
• circumvent our rate limits, authentication, access controls, geographic restrictions, digital rights management, or Cloudflare / WAF protections;
• share, transfer, or sell your account credentials, or allow multiple people to share a single subscription;
• access, test, scan, or probe the Service for vulnerabilities without our prior written consent;
• use the Service to violate any applicable law, regulation, or third-party right, or to harass, defraud, or harm others;
• use the Service for navigation, collision avoidance, search and rescue, or any safety-critical purpose (see Safety Notice above).

5. Intellectual Property

All software, source code, designs, user interfaces, content, trade marks, branding (including the CATALYSST word mark and logo), data pipelines, processed datasets, analytics, documentation, and any derivative works displayed through the Service are the exclusive property of Chasing Pelagics LLC or its licensors, and are protected by United States and international copyright, trade secret, and trade mark law. No license is granted except as strictly necessary to operate the Service within its intended user interface while your subscription is active. All rights not expressly granted are reserved.

6. Third-Party Data Sources

The Service aggregates data from third-party sources, including public, government, commercial, and licensed feeds. We make no warranty that such data is accurate, timely, complete, or fit for any purpose. Your use of any third-party data is further subject to the respective source's terms and license. We reserve the right to add, remove, or change data sources at any time without notice, and we do not disclose specific upstream providers.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, TIMELINESS, COMPLETENESS, AND UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, THAT DATA WILL BE ACCURATE OR CURRENT, OR THAT ANY ERRORS WILL BE CORRECTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CHASING PELAGICS LLC, ITS OFFICERS, EMPLOYEES, AFFILIATES, LICENSORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, VESSEL, EQUIPMENT, CATCH, LIFE, OR LIMB, ARISING OUT OF OR RELATING TO YOUR USE OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS THE ABOVE LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to defend, indemnify, and hold harmless Chasing Pelagics LLC and its officers, employees, agents, licensors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any third-party right.

10. DMCA & Copyright Notices

Notices of alleged copyright infringement should be submitted through our contact form with the subject "DMCA notice", or by mail to: Chasing Pelagics LLC, Attn: DMCA Agent, Orange County, California, USA. Notices must include all elements required by 17 U.S.C. § 512(c)(3).

11. Termination

You may terminate your account at any time from the Service. We may suspend or terminate your access immediately, without notice and without refund, for any violation of these Terms or any conduct we reasonably believe may harm the Service or other users. Upon termination, your right to use the Service ceases, and we may delete your data in accordance with our Privacy Policy.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Orange County, California, and you consent to personal jurisdiction and venue there. You waive any right to participate in a class action or class arbitration against us to the fullest extent permitted by law.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email or by in-app notice at least 30 days before taking effect. The "Effective" date at the top reflects the current version. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Miscellaneous

These Terms constitute the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign these Terms without restriction.
